At the end of 2023 OECD had published its new recommendation on Corporate Governance. For any serious public listed company the OECD recommandation and principles should be a must to implement. Five important takeaways from the OECD document that could be read fully in the first comment:

1. The shareholders should use the cumulative votes when designating the Board Members;

2. The shareholders should not assume responsabilities for managing corporate activities;

3.The Board Members should not represent the interest of the controling shareholder and should show loyality and care for the company that they have to serve with diligence;

4. In order to fulfil their responsabilities the Board Members should have access to accurate, relevant and timely information;

5. If any sustainable goal is adopted by public listed companies, the management should report about the measurement tool used to assess the progress and the interim results.
